Job Description
- We are seeking a dynamic and qualified individual to serve as our Company Secretary, Lawyer, and Compliance Officer.
- The successful candidate will manage a range of corporate governance, legal, and compliance responsibilities, ensuring our operations comply with statutory and regulatory requirements.
Key Responsibilities
- Ensure that the Articles of Association comply with CAMA and other relevant statues, advice the directors on required or desirable amendments to the Articles; draft amendments following correct procedures and ensure that the company complies with its own Articles.
- Monitor and ensure compliance with NSE Rules, provide information to the market in a timely and compliant manner, ensure the security of unpublished, price-sensitive information and manage the company’s internal rules restricting share dealing during closed periods.
- Adequate knowledge of the NGX and SEC compliance regulations for companies on the growth board.
- Making sure all filings to SEC is done as at when due.
- Maintain the statutory registers of the company and ensure access to the registers by persons entitled to view each one. This includes dealing with transfers and transmission of shares and other matters affecting shareholdings.
- Coordinate the publication of the company’s annual report in consultation with the company’s internal and external advisers, prepare the report of the directors and ensure circulation of same to all parties entitled to receive it as at when due.
- Issue notice of board meetings.
- Organize and attend board meetings, preparing agendas and minutes.
- Communicate board resolutions to management.
- Obtain board approval on matters that are reserved for directors before implementation.
- Advise directors and members on corporate governance and legal matterIn conjunction with the chairman, ensure that board meetings follow a standard.
- Maintain minutes books and safeguard their access to authorised personnel only.
- Ensure safe custody and proper use of the company seal.
- Maintain statutory books, including registers of members, directors, and secretaries.
- Ensure compliance with statutory and regulatory requirements.
- Provide legal advice on corporate, commercial, and employment matters.
- Draft, review, and negotiate contracts and agreements.
- Manage legal risks and handle any litigation or dispute resolution.
- Ensure compliance with corporate laws and regulations.
- Enasuring adherence to corporate compliance programs.
- File SCUML (Special Control Unit against Money Laundering) and other required statutory documents.
- Develop and implement policies and procedures to mitigate compliance risk
- Monitor legal and regulatory changes affecting the company.
- Regulating the company’s policies to ensure transparency, equity and fairness to all. Coordinating and scheduling required compliance training for employees.
- Ensure that RGR Plc has appropriate decision-making processes and controls in place so that the interests of all stakeholders (shareholders, employees, suppliers, customers and the community) are balanced.
- Making sure all statutory documents are up to date.
Skills and Competency Requirements
- A legal practitioner within the meaning of the Legal Practitioners Act, 1975
- Professional qualification as a Company Secretary (e.g., ICSA) is an advantage.
- Minimum of 5 years experience in a similar role in a public company
- Strong knowledge of corporate governance, legal compliance, and regulatory frameworks.
- In-depth understanding of relevant legislation and regulation of the NGX and SEC.
- Extensive knowledge of all aspects of relevant legislation and regulation on Money Laundering/Financial Terrorism.
- Attention to detail.

Salary
N600,000 – N800,000 monthly.
