Job Title: Company Lawyer / Secretary

Location: Abuja (FCT)
Employment Type: Full-time

Job Summary

  • We are seeking an experienced and skilled Company Lawyer/Company Secretary to provide legal and administrative support to our organization.
  • The successful candidate will be responsible for ensuring the company’s compliance with relevant laws and regulations, managing the company’s secretarial functions, and providing legal advice to the management team.

Key Responsibilities
Legal Duties:

  • Handle legal advice to the management team on various aspects of the business, including contracts, employment law, and regulatory compliance.
  • Draft, review, and negotiate contracts, agreements, and other legal documents.
  • Ensure compliance with relevant laws, regulations, and industry standards.
  • Represent the company in legal proceedings, disputes, and negotiations.
  • Conduct legal research and provide updates on changes in laws and regulations affecting the company.
  • Register new companies under the group or purview of the group with CAC and also update subsidiary company records with CAC.

Company Secretarial Duties:

  • Ensure the company’s compliance with the Companies and Allied Matters Act (CAMA) and other relevant laws and regulations.
  • Maintain the company’s statutory records, including the register of members, directors, and secretaries.
  • Prepare and file annual returns, financial statements, and other statutory documents.
  • Coordinate the company’s annual general meetings (AGMs) and extraordinary general meetings (EGMs).
  • Ensure that the company’s constitutional documents, including the memorandum and articles of association, are up-to-date and compliant with relevant laws and regulations.

Administrative Duties:

  • Provide administrative support to the management team.
  • Coordinate the company’s governance framework, including the board of directors’ meetings and committees.
  • Ensure that the company’s policies and procedures are up-to-date and compliant with relevant laws and regulations.
  • Coordinate the company’s risk management framework, including identifying and mitigating potential risks.
  • Perform other administrative duties as assigned by the management team.

Requirements

  • Bachelor’s Degree in Law (LL.B) and a qualifying certificate in Law (B.L).
  • Minimum of 10 years of experience as a company lawyer and/or company secretary or actively call to Bar.
  • Membership of the Nigerian Bar Association (NBA) and the Institute of Chartered Secretaries and Administrators (ICSA).
  • Strong knowledge of Nigerian company law, regulatory compliance, and governance.
  • Excellent communication, drafting, and negotiation skills.
  • Ability to work under pressure and meet deadlines.
  • Strong analytical and problem-solving skills.
  • Proficient in Microsoft Office and other relevant software.

Remuneration
NGN220, 000 monthly.
