Job Title: Secretariat and Board Officer
Location: Port Harcourt, Rivers

Job Responsibilities
Board and Committee Support:
- Organize and coordinate board and committee meetings, including scheduling, preparing agendas, and distributing materials.
- Record and prepare accurate minutes of meetings.
- Ensure timely follow-up on action items and decisions made during meetings.
Governance and Compliance:
- Ensure compliance with legal and regulatory requirements related to corporate governance.
- Maintain and update statutory records, including registers of directors, members, and other key documents.
- Advise the board on governance best practices and procedural matters.
Secretariat Services:
- Act as the primary liaison between the board and senior management.
- Handle correspondence and communications on behalf of the board.
- Maintain confidentiality and ensure secure handling of sensitive information.
Policy and Documentation:
- Draft, review, and update governance policies, charters, and terms of reference.
- Ensure the timely filing of regulatory documents with authorities (e.g., Companies House, SEC, or other relevant bodies).
Administrative Support:
- Manage budgets and expenses related tthe board and secretariat functions.
- Oversee logistics for board events, including travel arrangements and venue bookings.
- Support annual general meetings (AGMs) and other shareholder meetings.
Strategic Support:
- Assist in strategic planning and alignment with organizational goals.
- Provide insights and recommendations timprove governance and operational efficiency.
Qualifications
- Bachelor’s Degree in Business Administration, Law, Governance, or a related field (master’s degree or professional certification is often preferred).
- Proven experience in corporate governance, board management, or secretariat roles.
- Strong understanding of legal and regulatory frameworks relevant tthe organization.
Skills and Competencies:
- Excellent organizational and time-management skills.
- Strong written and verbal communication abilities.
- High attention tdetail and accuracy.
- Ability thandle sensitive and confidential information with discretion.
- Proficiency in governance software and tools (e.g., Diligent Boards, BoardEffect).
- Analytical thinking and problem-solving skills.
- Leadership and interpersonal skills for collaboration with senior executives and board members
